Terms of Service

1. Who we are

SellCrate (“SellCrate”, “we”, “us”) is software operated by Max, trading as MaxxMultimedia, 5260 State Road 54, New Port Richey, FL 34652, USA. Contact: max@maxxmultimedia.org. SellCrate provides automation tools for Amazon sellers, including “Stranded Fixer,” which analyzes your stranded inventory and updates your listing prices.

2. Eligibility & your Amazon account

You must be an authorized Amazon seller and provide access only to an Amazon Selling Partner account you own or are permitted to manage. You authorize SellCrate to act on your account through Amazon's Selling Partner API (SP-API) solely to provide the features you enable. You can revoke this access at any time from Amazon Seller Central.

3. What the service does — and does not do

• SellCrate changes prices on stranded items per your configured settings.
• SellCrate never removes, disposes of, or returns inventory automatically. Items that can't be profitably repriced are only flagged, and any removal file is uploaded to Amazon by you.
• Price changes are submitted to Amazon, which applies them on its own schedule (book/media listings can take hours).
• You are responsible for your pricing strategy, thresholds, and reviewing outcomes. Defaults are a starting point, not advice — see the Disclaimer.

4. Your responsibilities & acceptable use

• Comply with all Amazon policies, including Amazon's Selling Partner and API program terms, the Acceptable Use Policy, and applicable law.
• Keep your login credentials confidential. You're responsible for activity under your account.
• Don't misuse the service: no attempts to access other users' data, reverse-engineer, overload, or use the service to violate Amazon's rules or any law.
• Provide only an Amazon account, and any optional third-party API key, that you are entitled to use.

5. Data protection & Amazon Information

Our handling of your data is described in the Privacy Policy, which forms part of these terms. In summary: data obtained through Amazon's SP-API (“Amazon Information”) is used only to provide the features you enable, is encrypted at rest and in transit, is never sold or used to profile or compete with you, and is deleted when no longer needed or on request (seller credentials are wiped automatically when your subscription ends). We handle Amazon Information in accordance with Amazon's Data Protection Policy and Acceptable Use Policy. We do not request or store Amazon buyer personally identifiable information (PII).

6. Billing

• Subscriptions are billed monthly via Stripe. We never see or store your card number.
• Your plan renews automatically until cancelled. Cancel any time from the billing portal; cancellation stops future charges and ends automation at the end of the current period.
• Fees are generally non-refundable except where required by law. Prices may change with notice; existing subscribers are given reasonable notice of any increase.

7. Referrals

Referral credit is earned only on genuinely paying subscriptions and may be withheld or reversed for fraud, abuse, self-referral, or chargebacks. We may change or end the referral program at any time.

8. Third-party services

SellCrate relies on Amazon, Stripe, Fly.io, an email provider, and any optional third-party service whose API key you choose to supply. Your use of those services is subject to their terms, and we're not responsible for their acts, outages, or changes. SellCrate is an independent tool and is not affiliated with, endorsed by, or sponsored by Amazon.

9. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that repricing will increase sales or profit, that the service will be uninterrupted or error-free, or that Amazon will apply every change. See the Disclaimer.

10. Limitation of liability

To the maximum extent permitted by law, SellCrate and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the service. Our total liability for any claim is limited to the amount you paid us in the three (3) months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless SellCrate and its operator from claims, losses, and expenses arising out of your misuse of the service, your violation of these terms, or your violation of Amazon's policies or applicable law.

12. Suspension & termination

You may stop using the service and delete your account at any time. We may suspend or terminate access for violation of these terms, non-payment, or to comply with Amazon's policies or the law. On termination, we delete your stored Amazon Information as described in the Privacy Policy.

13. Changes to these terms

We may update these terms; the “last updated” date will change and, for material changes, we'll make reasonable efforts to notify you. Continued use after an update means you accept the revised terms.

14. Governing law

These terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. Disputes will be brought in the state or federal courts located in Florida, unless applicable law provides otherwise.
